Welcome to PetroBot Technologies Pvt. Ltd. ("PetroBot", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, products, and services, including our robotic inspection solutions (ITIS Rover, MagRover, MicroRover, Water ROV) and the Visualize platform (collectively, the "Services"). By accessing, registering for, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
1. Services & Products
PetroBot provides advanced robotic non-destructive testing (NDT) inspection services and products for industrial assets. Our offerings include proprietary robotic systems and the Visualize software platform for data analysis. We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice. We may release certain Services or features in a beta version, which may not work correctly or in the same way the final version may work. We may change, withdraw, or not release any beta Service at our sole discretion.
2. Use of Services
You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our products and services complies with all applicable laws, regulations, and safety standards, particularly when operating our robots in hazardous environments (e.g., ATEX Zone 0, 1, 2). You agree not to: (a) misuse our Services or assist anyone else in doing so; (b) attempt to reverse engineer, decompile, or otherwise discover the source code or underlying structure of our robots or software; (c) use our Services to infringe upon the intellectual property rights of others.
3. Payment Terms
For paid Services and product purchases, you agree to pay all fees in accordance with the pricing and payment terms presented to you for that Service. Fees are non-refundable except as required by law or as otherwise specifically permitted in these Terms. We reserve the right to change our prices at any time. If you have signed a separate contract or Master Service Agreement (MSA) with PetroBot, the payment terms in that agreement shall prevail.
4. Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, algorithms, and the mechanical and electronic design of our robots, are the exclusive property of PetroBot and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes as intended, provided you comply with these Terms.
5. User Data & Privacy
Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. You retain ownership of any data you upload to the Visualize platform ("User Data"). However, you grant us a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Data for the purpose of providing and improving our Services.
6. Limitation of Liability
To the fullest extent permitted by law, PetroBot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; or (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
7. Warranty Disclaimer
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. PetroBot makes no representations or warranties of any kind, express or implied, regarding the operation of our Services or the information, content, materials, or products included on our Services. You expressly agree that your use of our Services is at your sole risk. To the full extent permissible by applicable law, PetroBot disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
8. Indemnification
You agree to defend, indemnify, and hold harmless PetroBot, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Data, any use of the Service's content, services, and products other than as expressly authorized in these Terms.
9. Termination
We may terminate or suspend your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your account, you may simply discontinue using the Services. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
